We hereby, for and on behalf of the Company, submit the Material Information or Fact Reporting, as follows:
Transaction Description
- Transaction I
a. Date of Transaction
On 20 March 2024, the Company has entered into a Lease Agreement with PT Mutiara Pramita Sejati (“MPS”).
b. Transaction Form and Object of the Transaction
Lease of a building covering an area of 1,182 m² standing on a plot of land with total area of 1,728 m2 with Right to Build Certificate No.669/Petojo Selatan registered under the name of MPS, located at Jalan Abdul Muis No.34 Central Jakarta, upon which the Company leased from MPS to be used for the Company’s office activities.
c. Value of the Transaction
The Affiliated Transaction value is Rp 3,071,066,500 (three billion seventy one million sixty six thousand five hundred Rupiah) for a lease period of 13 (thirteen) months starting from 20 March 2024 until 19 April 2025.
d. The Parties in the Transaction
- MPS as the Lessor; and
- The Company as the Lessee.
e. Nature of Affiliation from Parties Conducting the Transaction
- MPS is a company whom one of its beneficial owner is Mrs. Vilia Sulistyo; and
- Mrs. Vilia Sulistyo is a member of the Board of Commissioners of the Company.
- Transaction II
a. Date of the Transaction
On 20 March 2024, the Company has entered into a Lease Agreement with PT Gardana Manggala Utama (“GMU”).
b. Transaction Form and Object of the Transaction
Lease of a building covering an area of 720 m² standing on a plot of land with total area of 1,618 m2 with Right to Build Certificate No. 2470/Petojo Selatan registered under the name of GMU, located at Jalan Abdul Muis No.32 Central Jakarta, upon which the Company leased from GMU to be used for the Company’s office activities.
c. Value of the Transaction
The Affiliated Transaction value is Rp 1,870,700,400 (one billion eight hundred seventy million seven hundred thousand four hundred Rupiah) for a lease period of 13 (thirteen) months starting from 20 March 2024 until 19 April 2025.
d. The Parties in the Transaction
- GMU as the Lessor; and
- The Company as the Lessee.
e. Nature of Affiliation from Parties Conducting the Transaction
- GMU is a company whom one of its beneficial owner is Mrs. Vilia Sulistyo; and
- Mrs. Vilia Sulistyo is a member of the Board of Commissioners of the Company.
- Transaction III
a. Date of Transaction
On 20 March 2024, the Company has entered into a Lease Agreement with Mrs. Lila Noto Pradono (“Mrs. Lila”).
b. Transaction Form and Object of the Transaction
Lease of office space with area of 8 m2 within a building which standing on a plot of land with total area of 1,552 m2 with Right to Build Certificate No. 2478/Petojo Selatan registered under the name of Mrs. Lila, located at Jalan Abdul Muis No.30 Central Jakarta, upon which the Company leased from Ibu Lila to be used for the Company’s office activities.
c. Value of Transaction
The Affiliated Transaction value is Rp 20,785,600 (twenty million seven hundred eighty five thousand six hundred Rupiah) for a lease period of 13 (thirteen) months starting from 20 March 2024 until 19 April 2025.
d. The Parties in the Transaction
- Mrs. Lila as the Lessor; and
- The Company as the Lessee.
e. Nature of Affiliation from Parties Conducting the Transaction
- Mrs. Lila is closed family of Mrs. Vilia Sulistyo; and
- Mrs. Vilia Sulistyo is a member of the Board of Commissioners of the Company
Considering that the total value of the Affiliated Transactions for Transaction I, Transaction II and Transaction III as mentioned above does not exceed 0.5% (zero point five percent) from the paid-up capital of the Company nor exceed the value of IDR 5,000,000,000 (five billion Rupiah), therefore referring to the provisions of Article 6 point 1 letter c POJK 42/2020, the Affiliated Transaction should be reported to OJK no later than the end of the 2nd (second) working day after the occurrence of the transaction
